Corporate & Startup Attorney - Remote Contract/Overflow

Intellectual Strategies is a unique type of law firm. We offer a “Fractional Legal Team” for startup/scaleup SaaS, ecommerce, and technology companies. Our clients hire us on a retainer basis to effectively be their in-house legal team, although on a fractional budget as they scale and grow.

Our attorneys focus on corporate startup work, intellectual property (IP) transactions, and outsourced general counsel (GC) services. We do some transactional work, but our specialty is strategic integration with our clients and across our team.

This is a remote position with a flexible schedule. We hold short team meetings a few days per week, typically 15 minutes between 9:45 and 10:00 a.m. Mountain Time, to coordinate client matters.

We are looking for a corporate attorney with 3+ years of experience who can independently manage our clients’ ongoing corporate matters, including entity formation, early-stage financing, securities, governance, privacy, contract review and drafting, and other general business transactions (although with the support of our staff).

You should also be comfortable communicating directly and effectively with founders, executive teams, and board members.

Our core values guide how we work with clients and with each other. We expect every attorney on our team to give advice grounded in the client’s business strategy, recommend a clear course of action, and follow through on every commitment.

We are growing our team and are specifically looking for an experienced corporate attorney we can turn to regularly for our clients’ needs. As an attorney in this role, you would handle work that varies in scope and complexity depending on our clients’ needs.

You would be a 1099 contractor providing services to our law firm, on behalf of our clients, with the expectation of growing the workload and team participation over time.

This position is ideal for an experienced attorney who has their own book of business (partial to almost full) and is looking for the potential to grow quickly with multiple clients.

Compensation

$75–$115/hour, depending on experience (1099 contract; some matters may be compensated on a project basis)

Requirements

• JD from an ABA-accredited law school
• Active license in good standing with a state bar
• 3+ years of corporate experience, including entity formation, governance, contract review and drafting. Any experience with data privacy & security, early-stage financing, securities, cap table management (Carta preferred) and/or trademarks is a plus.
• Strong attention to detail, document preparation, and deadlines
• Ability to quickly learn new software and follow standard procedures (we use Microsoft Teams and Monday.com)
