Overview
Based in Purchase, NY, the Manager, Legal Services (M&A Integration) will be a member of the Global Legal Entities (GLE) team and serve as the governance bridge between transaction execution and ongoing legal entity ownership. This role is responsible for supporting the governance and legal entity integration aspects of acquisitions, investments, strategic partnerships, and other corporate transactions.
The position will work closely with Corporate Development, Legal, Treasury, Tax, Controllers, integration teams, and regional stakeholders to ensure acquired entities are successfully transitioned into Mastercard's governance framework.
The successful candidate will help drive governance readiness throughout the deal lifecycle, beginning with due diligence activities and continuing through post-closing integration, remediation, and transition to steady-state ownership.
This role requires strong organizational skills, legal entity governance experience, attention to detail, and the ability to coordinate cross-functional stakeholders across multiple jurisdictions and complex entity structures.
Role
- Serve as the primary governance integration lead supporting acquisitions, investments, and strategic transactions from due diligence through steady-state ownership.
- Coordinate legal entity onboarding, governance readiness activities, and post-close integration efforts to ensure acquired entities are aligned with Mastercard governance standards and operating requirements.
- Partner with Corporate Development, Legal, Treasury, Tax, Controllers and cross-functional integration teams to manage governance-related workstreams throughout the transaction lifecycle.
- Support the assessment, documentation, and remediation of governance matters identified during diligence, onboarding, and integration activities.
- Maintain accurate legal entity data, ownership records, organizational structures, and governance documentation within Mastercard systems and repositories.
- Drive integration readiness and transition planning to facilitate the successful handoff of acquired entities to ongoing legal entity ownership and business-as-usual governance processes.
- Coordinate governance support for banking, signatory, KYC, UBO, entity management, and related corporate maintenance activities arising from acquisitions and strategic initiatives.
- Develop and monitor integration plans, remediation trackers, status reporting, and governance metrics to enhance visibility, accountability, and execution.
- Identify opportunities to improve governance processes, data quality, operational efficiency, and controls through automation, technology solutions, and AI-enabled capabilities.
- Support Global Legal Entities team priorities and special projects, including assigned attorney engagement activities, governance transformation initiatives, audit, regulatory and compliance-related projects, and other legal entity governance matters as needed.
All About You
Bachelor's degree, paralegal certificate, or equivalent legal entity governance experience.
Minimum 5+ years of experience in corporate governance, legal entity management, paralegal services, subsidiary management, M&A integration, or related legal operations functions required.
Strong understanding of corporate governance principles, legal entity structures, board and shareholder actions, and corporate recordkeeping.
Experience supporting mergers, acquisitions, integrations, restructurings, or other complex corporate transactions.
Demonstrated ability to manage multiple projects simultaneously and coordinate activities across global stakeholders.
Strong organizational, analytical, and problem-solving skills with exceptional attention to detail.
Experience working with legal entity management systems.
Knowledge of governance documentation, including articles of incorporation, bylaws, operating agreements, resolutions, powers of attorney, secretary certificates, KYC documentation, and UBO requirements.
Ability to identify governance risks and drive remediation efforts through cross-functional collaboration.
Strong communication and relationship-building skills with the ability to interact effectively with attorneys, business stakeholders, regulators, and third-party service providers.
Demonstrated ability to work independently while exercising sound judgment and escalating matters appropriately.
Advanced proficiency in Microsoft Office applications, legal entity management systems, data management tools, and AI-enabled productivity solutions.
Highly collaborative, adaptable, and capable of operating effectively in a fast-paced environment.

This position enables the Global Legal Entities team to engage earlier in acquisitions, improve governance visibility, accelerate integration activities, reduce audit and compliance risk, and minimize post-close remediation challenges. In line with Mastercard’s total compensation philosophy and assuming that the job will be performed in the US, the successful candidate will be offered a competitive base salary and may be eligible for an annual bonus or commissions depending on the role. The base salary offered may vary depending on multiple factors, including but not limited to location, job-related knowledge, skills, and experience.
