Senior Legal Counsel

Role Mission PaleBlueDot AI is seeking a highly experienced and commercially-focused Legal and Compliance Manager to lead legal structuring, commercial contract negotiations, and risk mitigation for our global Cloud Service and Procurement operations.

This role is ideal for a seasoned legal professional with mandatory prior experience at a major Cloud Service Provider (CSP) or large-scale SaaS enterprise, specialized in drafting and negotiating complex, high-value commercial agreements and navigating global trade compliance.

Cross-Border Commercial Structuring & Execution

Lead the design, risk assessment, and legal execution of commercial frameworks for complex cross-border Cloud Service and Procurement projects. Serve as the primary legal partner for business and engineering teams, negotiating and finalizing critical commercial agreements (including MSAs, SLAs, and SOWs) to enable rapid global expansion while protecting the Group’s interests.

Draft, review, and negotiate transaction documents to ensure full compliance with U.S. Export Administration Regulations (EAR), sanctions, and applicable regulatory frameworks. Oversee end-to-end legal processes for high-value, multi-jurisdictional cloud and infrastructure transactions.

Commercial Transaction & Contract Lifecycle Management

Manage the full lifecycle of enterprise commercial contracts, ensuring consistency, efficiency, and robustness across all legal documents. Draft and strategically review/negotiate complex cloud service contracts, vendor procurement agreements, and strategic partner agreements, balancing risk control with business enablement.

Compliance Framework & Sanctions Governance

Establish, enhance, and maintain the Group’s global compliance system, ensuring regular alignment with legal and regulatory updates across the U.S., Japan, Singapore, and other key markets. Continuously monitor global export controls and sanctions updates (e.g., U.S. BIS) and design robust contingency and risk-mitigation plans.

Risk Management & External Counsel Coordination

Manage legal responses to commercial emergencies, contract defaults, or major vendor disputes. Direct and optimize external counsel resources globally to ensure cost-effective, high-quality legal support.

Qualifications

• Education & Credentials LL.B., LL.M., or J.D. degree from a top-tier law school.
• Active bar admission in a relevant jurisdiction (U.S. or equivalent) is preferred.
• Experience & Technical Expertise Mandatory: Direct commercial legal experience supporting a major global Cloud Service Provider (CSP) or enterprise SaaS company, with a heavy focus on enterprise cloud contracts, data infrastructure, and procurement.
• Proven track record of leading complex, cross-border commercial contract negotiations and transactional legal projects.
• Deep domain knowledge of commercial contracting norms and cross-border regulatory differences (U.S., APAC, EMEA).
• Solid understanding of U.S. export controls (EAR/BIS) and trade sanctions applicable to AI, cloud infrastructure, and advanced computing.
• Core Competencies Native or professional native-level English fluency in legal drafting, negotiation, and verbal communication.
• Proficiency in modern legal tech tools (CLMs, workflow automation, and electronic signature platforms) to drive team efficiency.
• Pragmatic, business-oriented mindset with the ability to thrive in a high-growth, fast-paced technology environment.
