Position Summary

OLA Vacations Inc. is seeking an experienced, high-caliber Senior Corporate Attorney to join our growing legal team. This role requires a seasoned legal professional with a strong, deep background in commercial contracts and complex negotiations.

In a fast-paced environment, you will own advanced corporate and commercial practice areas, provide strategic legal counsel across cross-functional business units, mitigate high-exposure organizational risks, and help guide the company's long-term growth and compliance.

Key Responsibilities:

  • Commercial Contract Leadership: Spearhead the drafting, reviewing, and sophisticated negotiation of complex, high-value commercial agreements, including complex vendor, supplier, technology, marketing, strategic partnership, and enterprise service contracts. Identify material legal and business risks, and structure practical solutions to support aggressive organizational goals.
  • Strategic & Operational Counseling: Serve as a trusted advisor delivering actionable, business-focused legal recommendations on commercial, travel, consumer protection, privacy, and marketing law matters across daily operations.
  • Corporate Governance & Strategy: Lead corporate record maintenance, corporate governance activities, and the preparation of complex executive management and board materials.
  • Template & Process Optimization: Oversee the development, modernization, and implementation of standard contract templates, organizational policies, and comprehensive internal training programs for key business stakeholders.
  • Dispute Resolution & Risk Management: Manage potential claims, litigation, and high-exposure legal disputes; oversee insurance-related matters; and directly manage and coordinate external specialized counsel.
  • Executive Advisory & Tracking: Maintain rigorous oversight over legal requests, monitor key regulatory and operational deadlines, and proactively counsel executive leadership on high-priority legal initiatives and exposure risks.
  • Escalation & Leadership: Recognize complex, high-risk, or novel legal issues across specialized areas of law, taking ownership to resolve them or leading targeted collaboration with specialist advisors.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law in Florida (or eligibility for registered in-house counsel status).
  • Extensive hands-on experience drafting, structuring, and negotiating complex commercial contracts and business agreements.
  • Proven track record in an in-house legal department or a top-tier law firm advising commercial clients.
  • Strong business acumen, superior negotiation skills, and the ability to balance legal risk with commercial strategy.
