We are seeking General Counsel to join our team. This position offers the opportunity to work directly with senior management, providing strategic legal guidance while protecting the company's intellectual property, business interests, and proprietary technology.

Key Responsibilities

• Contract Drafting & Negotiation: Draft, review, negotiate, and manage a wide range of commercial agreements, including licensing agreements, SaaS agreements, NDAs, vendor contracts, partnership agreements, and other business-related contracts.
• Litigation & Dispute Resolution: Manage and participate in complex civil and commercial litigation, including pre-litigation strategy, negotiations, dispute resolution, and court proceedings.
• Intellectual Property Protection: Protect the company's proprietary data, intellectual property, trade secrets, technology, and other confidential business assets.
• Risk Management: Identify, assess, and mitigate legal and commercial risks while developing strategies that support the company's business objectives.
• Executive Legal Counsel: Advise senior management on complex legal matters, business decisions, contractual obligations, and potential liabilities.
• Technology & Telecommunications Law: Address legal matters involving technology licensing, software, data ownership, telecommunications, privacy, and intellectual property rights.
• Legal Compliance: Ensure company operations, contracts, and business practices comply with applicable federal and state laws and regulations.
• Legal Strategy: Develop and implement legal strategies that protect company interests and support continued business growth.

Required Qualifications

• Must hold a current, active Florida Bar license and be a member in good standing with The Florida Bar.
• Demonstrated experience drafting, reviewing, and negotiating complex commercial contracts.
• Experience with complex civil and commercial litigation, dispute resolution, and litigation strategy.
• Advanced ability to identify, assess, and manage business and legal risks.
• Experience advising and counseling senior management on substantive commercial and corporate legal matters.
• Strong knowledge of intellectual property law, trade secrets, proprietary information, and laws governing technology.
• Excellent legal research, analytical, negotiation, and written communication skills.
• Ability to independently manage multiple legal matters, prioritize responsibilities, and meet deadlines.
• Strong business judgment, professionalism, confidentiality, and attention to detail.

Preferred Qualifications

• Experience in the technology, telecommunications, GIS, geospatial intelligence, software, or SaaS industries is highly encouraged.
• Experience with software licensing, technology agreements, data licensing, and intellectual property protection.
• Familiarity with federal and state regulations affecting technology and telecommunications companies.
• Experience representing corporate clients in commercial disputes and contract negotiations.
• Background working directly with executive leadership or serving as in-house counsel.
