About this role

Position Summary

The Director of Corporate Operations is responsible for translating Company priorities into executable action plans, ensuring critical initiatives have clear ownership, maintaining accountability across workstreams, and driving projects through completion.

This individual will act as a strategic operating partner to the Chief Executive Officer and serve as a central coordinator across the Company's management team, Board of Directors, professional advisors, investors, and external stakeholders.

This position plays a vital role in maintaining the operational effectiveness of the company by ensuring information flows efficiently, deadlines are met, decisions are executed, and important matters do not fall between departments.

The position requires an individual who is equally comfortable managing executive-level priorities and personally executing detailed administrative and operational tasks when necessary to achieve Company objectives.

Position Requirements and Operating Philosophy

This role is designed for a self-directed professional who thrives in an environment requiring initiative, judgment, accountability, and independent execution. The successful candidate must be capable of identifying priorities, solving problems, making informed decisions within their authority, and advancing projects without requiring continual direction, affirmation, validation, or reassurance from management.

While collaboration and communication are essential, the role requires a high degree of autonomy and personal ownership. The Director of Corporate Operations is expected to:

  • Take full ownership of assigned responsibilities and outcomes.
  • Independently identify gaps, risks, bottlenecks, and unresolved issues and proactively address them.
  • Exercise sound judgment when determining whether to act, coordinate, delegate, or escalate.
  • Follow matters through completion without requiring repeated follow-up from the CEO or other members of management.
  • Operate with confidence, professionalism, and accountability in ambiguous or rapidly changing situations.
  • Anticipate needs rather than wait for instruction.
  • Assume responsibility for ensuring important work gets completed, regardless of whether ownership is clearly defined at the outset.
  • Demonstrate resilience and self-sufficiency in managing competing priorities and complex projects.

Success in this position requires a professional who is comfortable making decisions, taking initiative, and being held accountable for results.

Key Responsibilities

Executive Support and Corporate Coordination

  • Support the CEO by organizing priorities, tracking decisions, and converting strategic objectives into actionable plans.
  • Maintain visibility across significant corporate initiatives, including transactions, capital markets activities, regulatory matters, governance responsibilities, and strategic projects.
  • Prepare briefing materials, agendas, Board updates, presentations, talking points, and executive summaries.
  • Coordinate follow-up across management, legal counsel, accounting professionals, investment bankers, consultants, and other advisors.
  • Identify matters lacking ownership and either assume responsibility or ensure accountability is assigned.
  • Implement systems and processes that improve organizational effectiveness and execution.

Cross-Functional Operations Management

  • Serve as the Company's central operational coordinator and process owner.
  • Monitor critical deadlines, approvals, deliverables, and dependencies across departments and external stakeholders.
  • Establish and maintain repeatable workflows, calendars, project tracking systems, and operational procedures.
  • Coordinate special projects requiring involvement from multiple business functions.
  • Proactively identify and escalate issues that could impact transactions, filings, compliance obligations, or strategic initiatives.

Board, Governance, and Public Company Administration

  • Coordinate Board and committee meetings, agendas, materials, minutes, and follow-up actions.
  • Maintain governance records, approval processes, resolutions, and corporate documentation.
  • Support Board onboarding, communication, and ongoing administrative requirements.
  • Coordinate workflows related to SEC filings, Nasdaq compliance matters, proxy materials, shareholder meetings, and other public-company obligations.
  • Track comments, approvals, signatures, and required deliverables among management, counsel, auditors, and advisors.

Investor Relations and External Communications

  • Coordinate investor presentations, earnings materials, shareholder communications, and transaction-related materials.
  • Support earnings calls, press releases, investor outreach, and approved communications initiatives.
  • Monitor and coordinate responses to shareholder inquiries and information requests.
  • Maintain communication with the transfer agent, investor-relations service providers, and other external stakeholders.

Corporate Administration and Records Management

  • Maintain corporate records, governance materials, executed agreements, and key organizational documentation.
  • Coordinate access to corporate systems, Board portals, shared drives, and other business platforms.
  • Manage document-routing processes, signature workflows, and record-retention procedures.
  • Support technology, vendor, and administrative functions as required.

Human Resources and Administrative Support

  • Coordinate onboarding, offboarding, personnel administration, payroll-related processes, and benefits-related coordination.
  • Assist with recruiting logistics, candidate scheduling, employment documentation, and internal communications.
  • Maintain personnel records and related administrative documentation.

Vendor and Financial Administration Support

  • Coordinate vendor onboarding, invoice routing, accounts-payable workflows, and administrative expense tracking.
  • Support implementation and management of financial and administrative systems.
  • Maintain visibility into service-provider relationships and ensure operational continuity.

Marketing and Corporate Communications

  • Support approved marketing and corporate communication initiatives.
  • Coordinate website updates, presentations, case studies, newsletters, social-media content, and related communications activities.
  • Maintain communications calendars aligned with Company events, filings, and investor-relations activities.

Qualifications

  • Bachelor's degree or equivalent professional experience.
  • Demonstrated success coordinating complex, deadline-driven projects involving multiple stakeholders.
  • Exceptional organizational, project-management, and follow-through skills.
  • Strong written and verbal communication abilities.
  • Experience supporting executive leadership and coordinating cross-functional initiatives.
  • Working knowledge of Microsoft 365, Outlook, Teams, SharePoint, and related productivity tools.
  • Ability to learn and administer various operational, governance, investor-relations, payroll, CRM, and reporting platforms.
  • Experience in a public company, regulated environment, investor-relations function, legal support environment, financial services firm, REIT, or similar organization preferred.

Critical Success Factors

The Director of Corporate Operations will ultimately become the person the CEO and management team rely upon to know:

  • What needs to happen.
  • Who is responsible.
  • When it must be completed.
  • What obstacles exist.
  • Whether the task has actually been completed.

This position is best suited for an individual who derives satisfaction from creating order, driving accountability, solving problems independently, and ensuring that important business objectives are executed successfully.

The successful candidate will be highly proactive, self-motivated, resourceful, and comfortable operating without continual oversight, affirmation, or direction while maintaining strong communication with leadership and stakeholders.
